Zila Africa Terms & Conditions
These Terms and Conditions ("Terms") govern the use of the Zila mobile application, website, and related services available through Zila Africa. By creating an account, accessing, or using Zila, you agree to be bound by these Terms and Conditions.
1.Definitions
For the purposes of these Terms:
- Zila means Zila Africa, a subsidiary of Green Ocean (Pty) Ltd, its affiliates, employees, agents, and representatives.
- Platform means the Zila website, mobile application, and related systems.
- Passenger means a user requesting transportation services through Zila.
- Driver means an independent contractor using the Zila Platform to provide transportation services.
- Trip means a transportation request accepted through the Platform.
- Super Admin means a system administrator with elevated privileges and access to financial reports.
- Admin means a Zila administrator responsible for operational management and user approvals.
- KYC means Know Your Customer verification procedures.
- Terms and conditions are the contractual rules governing the relationship between a service provider and users.
2.Acceptance of Terms
By using Zila, you confirm that:
- You have read and understood these Terms.
- You agree to comply with all applicable laws.
- You provide accurate information during registration.
- You agree to Zila's Privacy Policy.
If you do not agree to these Terms, you must not use the Platform.
3.Eligibility
To use Zila:
Passengers
You must:
- Be at least 18 years old or the legal age required by local law.
- Possess a valid government-issued identity document.
- Successfully complete KYC verification.
- Obtain approval from Zila before using the service.
Drivers
You must:
- Hold a valid driver's license.
- Possess legal authorization to operate a motor vehicle.
- Submit all required vehicle documentation.
- Pass Zila's verification process.
- Maintain valid vehicle insurance where required by law.
4.Account Registration
All users must provide:
- Full legal name
- Mobile number
- Email address
- Government-issued identity document
- Additional KYC documents requested by Zila
Users agree that:
- Information submitted is true and accurate.
- They will update information when changes occur.
- They will not create multiple accounts to evade suspensions or restrictions.
5.Driver Verification Requirements
Drivers must submit:
Personal Documents
- National ID or Passport
- Driver's License (front and back)
- KYC verification documents
- Profile photograph
Vehicle Documents
- Vehicle registration details
- Vehicle photographs: front view, rear view, left side, right side, front interior, and rear interior
Vehicle registration plates must be clearly visible in applicable photographs.
Zila reserves the right to approve, reject, suspend, or revoke any Driver account at its sole discretion.
6.Passenger Verification Requirements
Passengers must submit:
- Government-issued identification
- Profile photograph
- KYC verification documentation
Passengers cannot request rides until approval has been granted.
This verification process exists to enhance passenger and driver safety and assist law enforcement when legally required.
7.Nature of the Service
Zila provides a technology platform that connects Drivers and Passengers.
Zila is not a transportation company and does not directly provide transportation services.
Drivers are independent service providers responsible for the transportation services they offer.
8.Trip Requests
When a Passenger requests a trip:
- The Platform identifies nearby available Drivers.
- A trip request is sent to Drivers.
- A Driver may accept or decline.
- Upon acceptance: Driver details become visible to the Passenger, vehicle details become visible to the Passenger, and live GPS tracking becomes available.
Zila does not guarantee Driver availability.
9.Fare Calculation
Fares are calculated according to Zila's pricing model.
Current Botswana pricing may include:
Standard Pricing
- Trips up to 2 km: P10.00 minimum fare
- Additional distance charged per kilometer
Peak Pricing
Peak pricing may apply during busy periods including:
- 06:00 – 09:00
- 16:00 – 19:00
Zila reserves the right to adjust pricing at any time.
Applicable pricing will be displayed before trip confirmation whenever technically possible.
10.Payment Methods
Accepted payment methods may include:
- Cash
- Debit Cards
- Credit Cards
- Mobile Money
- Other approved payment methods
Passengers are responsible for ensuring payment upon trip completion.
Failure to pay may result in account suspension.
11.Driver Commission
Drivers agree that:
- Zila earns a commission on completed trips.
- The standard commission rate is 15% unless otherwise communicated.
- Commission applies to both cash and electronic payments.
- Zila may deduct commissions automatically where applicable.
- Drivers remain responsible for any outstanding commissions owed to Zila.
12.Trip Cancellations
Passenger Cancellation
Passengers may cancel trips before pickup.
Cancellation fees may apply if:
- The Driver has already traveled toward the pickup location.
- Excessive waiting time has occurred.
Driver Cancellation
Drivers may cancel trips for legitimate reasons including:
- Passenger safety concerns
- Incorrect pickup location
- Vehicle emergencies
- Suspected fraudulent activity
Repeated cancellations may lead to account review.
13.User Conduct
Users must not:
- Use the Platform for unlawful activities.
- Harass, threaten, or abuse other users.
- Provide false information.
- Attempt to manipulate fares.
- Circumvent payment systems.
- Use another person's account.
- Damage property.
- Engage in discriminatory behavior.
Violation may result in immediate suspension or termination.
14.Safety and Security
For safety purposes, Zila may:
- Store trip histories.
- Record trip metadata.
- Maintain GPS location records.
- Maintain communication logs.
- Cooperate with lawful investigations.
Users acknowledge that no technology platform can guarantee absolute safety.
15.Communications
Passengers and Drivers may communicate through:
- In-app messaging
- In-app calling
Users agree not to misuse communication features.
Zila may monitor or retain communication records where permitted by law.
16.Privacy and Data Protection
Zila collects and processes personal information for:
- User verification
- Trip management
- Fraud prevention
- Safety investigations
- Regulatory compliance
Information may be shared with:
- Law enforcement agencies where legally required
- Regulatory authorities
- Payment processors
- Technology service providers
All reasonable efforts will be made to protect user data.
17.Suspension and Termination
Zila may suspend or terminate accounts for:
- Fraud
- Misrepresentation
- Criminal activity
- Safety concerns
- Non-payment
- Violation of these Terms
Termination may occur without prior notice where necessary for safety or legal compliance.
18.Intellectual Property
All rights relating to:
- Zila branding
- Logos
- Software
- Databases
- Website content
- Mobile application content
remain the exclusive property of Zila.
Users may not copy, distribute, reverse engineer, or reproduce any part of the Platform without written permission.
19.Disclaimers
The Platform is provided on an "as available" basis.
Zila does not guarantee:
- Continuous availability
- Error-free operation
- Driver availability
- Passenger availability
- Uninterrupted GPS functionality
Service interruptions may occur due to maintenance, telecommunications failures, or circumstances beyond Zila's control.
20.Limitation of Liability
To the maximum extent permitted by law:
Zila shall not be liable for:
- Indirect damages
- Consequential losses
- Loss of profits
- Personal disputes between users
- Delays caused by traffic or weather
- Actions of Drivers or Passengers
Any liability shall be limited to the amount paid for the specific trip giving rise to the claim.
21.Indemnity
Users agree to indemnify and hold harmless Zila, its directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:
- Breach of these Terms
- Violation of laws
- Misuse of the Platform
- Actions during a Trip
22.Governing Law
These Terms shall be governed by the laws of the jurisdiction in which Zila operates.
For Botswana operations, Botswana law shall apply unless otherwise required by local legislation.
23.Dispute Resolution
Users agree to first attempt to resolve disputes through Zila customer support.
If resolution cannot be achieved, disputes may be referred to mediation, arbitration, or competent courts as permitted by applicable law.
24.Changes to These Terms
Zila may amend these Terms at any time.
Updated Terms will be published on the Zila Africa Website.
Continued use of the Platform after publication constitutes acceptance of the updated Terms.
